"We Want Schwebel's" Video Contest Official Rules

NO PURCHASE NECESSARY. MUST BE A LEGAL U.S. RESIDENT, 18 YEARS OF AGE OR OLDER. VOID WHERE PROHIBITED BY LAW.

CREATIVE ASSIGNMENT

Create a video using the "We Want Schwebel's" jingle. You can sing, perform, act, animate, or digitally assemble images using supplied audio tracks and lyrics, or perform your own version of the tune and lyrics in any musical medium. Videos should be 2 minutes long or less.

JUDGING CRITERIA

A panel of objective judges selected by Sponsor will score all eligible Contest Entries based on the Judging Criteria and will select potential winning videos on or about 12:00 p.m. ET on January 7, 2011 ("Potential Winners"). The following criteria ("Judging Criteria") will be used to narrow the number of potential winning videos to ten (10) Top Finalists:

Originality & Creativity (75%)
Originality will be judged based on the uniqueness, inventiveness, creativity and original thought of the video.
Technical Quality (15%)
Adherence to Rules (10%)

Those 10 Potential Winners with the highest scores will be posted online for public voting. The online - voting period ("Voting Period") will begin at 12:01 a.m. ET on January 10, 2011, and end at 11:59 p.m. ET on February 4, 2011.

Anyone visiting www.wewantschwebels.com during the Voting Period is eligible to vote. In order to vote online, voters will be required to provide the e-mail address from which they are voting prior to placing one vote for a top 10 finalist. Online voting is limited to one vote per person or e-mail address per day.

The ten Potential Winners that receive the most online votes will be awarded the top ten (10) Prizes. The video receiving the most online votes will be awarded First Place, the video receiving the second highest online votes total will be awarder Second Place, and the video receiving the third highest online vote total will be awarded Third place, and will follow accordingly through 10th place.

Winning a Prize is determined solely based on the highest number of online votes received during the Voting Period. Winning is contingent upon fulfilling all requirements of these Official Rules and Sponsor's decisions as to the administration of the Contest and prize awards are final. In the event that any prize notification is undeliverable, Sponsor is unable to contact a Potential Winner, or response to a prize notification is not received within seven (7) days of its issuance, the prize may be forfeited. When a prize is forfeited, the Potential Winner with the next highest online vote total in accordance with the Judging Criteria will be chosen as an alternate winner. The winning video will be announced by news release and will be posted on www.schwebels.com, www.wewantschwebels.com on or about February 8, 2011.

TIMING

The Schwebel Baking Company ("Schwebel's") "We Want Schwebel's Video Contest" ("Contest") begins at 12:01 a.m. Eastern time ("ET"), October 1, 2010, and ends at 11:59 p.m. ET, December 31, 2010 ("Contest Entry Period"). Entries submitted after December 31, 2010 will not be considered.

The Contest is sponsored by Schwebel Baking Company, P.O. Box 6018, 965 East Midlothian Boulevard, Youngstown, Ohio 44502 ("Sponsor").

ELIGIBILITY

Entry is open to legal residents of the United States , including the District of Columbia, 18 years of age or older at the time of entry. Persons appearing IN the video may be younger than 18. Minors who make a video MUST have a person OVER the age of 18 enter the video on their behalf. NO EXCEPTIONS. Employees of Sponsor, their family members, and persons living in the same household as employees or their family members are NOT eligible. All federal, state and local laws apply.

AGREEMENT TO OFFICIAL RULES

Participation in the Contest constitutes entrant's full and unconditional agreement to and acceptance of these Official Rules. By entering the Contest, entrant warrants that the submission is an original work, has not been previously published or won any award, and that entrant is aware of no conflicting rights in the submission, including but not limited to copyright or other intellectual property right. Entrants agree that Sponsor, its affiliates, parents, subsidiaries, agents or contractors and their employees, officers and directors shall not be liable for injury, loss or damage of any kind resulting from participating in this promotion.

BY ENTERING THIS CONTEST AND UPLOADING YOUR SUBMISSION, YOU IRREVOCABLY GRANT TO SPONSOR AND ITS AGENTS THE UNCONDITIONAL AND PERPETUAL RIGHT TO POST, DISPLAY, PUBLISH, USE, ADAPT, EDIT AND/OR MODIFY SUCH SUBMISSION IN ANY WAY, IN ANY AND ALL MEDIA, FOR ANY PURPOSE, WITHOUT LIMITATION, AND WITHOUT CONSIDERATION TO YOU. FINALISTS AGREE TO IRREVOCABLY ASSIGN AND TRANSFER TO THE SPONSOR ANY AND ALL RIGHTS, TITLE AND INTEREST IN SUBMISSION, INCLUDING, WITHOUT LIMITATION, ALL COPYRIGHTS AND WAIVE ALL MORAL RIGHTS IN SUBMISSION. HOW TO ENTER CONTEST

To enter the Contest, visit http://www.wewantschwebels.com ("Web Site"), during the Contest Entry Period. Follow the proper instructions to complete and submit an entry form for the Contest. You will be asked to upload your original submission to the Web Site. Before uploading any submission, you will be required to agree that you have 1) read or have had the Official Rules read to you and fully agree to comply with these Official Rules, and 2) obtained permission for the use of the images or likeness of any and all persons appearing in your submission. If your video is selected as a Prize Winner you will be required to submit a release signed by each identifiable person appearing in your video, granting the Sponsor permission to use his or her image and likeness. YOU ASSUME COMPLETE RESPONSIBILITY FOR THE RELEASE OF ANY AND ALL PERSONS AND THEIR IMAGES OR LIKENESSES FOR ANY VIDEO ENTRY THAT IS SHOWN ON THE INTERNET. Submissions that do not include all required information and comply with these Official Rules will not be considered by the Sponsor. Sponsor has sole discretion to remove, delete and/or disqualify any video it decides inappropriate.

TECHNICAL REQUIREMENTS

Video upload requirement is a max of 50 MB in File Size and should be limited to the following formats: MOV, MPEG, MP4, M4V, WMV.

Because this is a contest of skill, odds of winning depend upon the quality and eligibility of submissions received and the final Overall score, as determined by the Judging Criteria for the Overall Prizes. Sponsor reserves the right, in its sole discretion, to cancel, modify or suspend the Contest should fraud, technical failures, or any other factor beyond the reasonable control of Sponsor impair the integrity if the Contest, as determined by Sponsor in its sole discretion. In such event, Sponsor reserves the right to award prizes based on the Judging Criteria from the eligible Contest Entries received up to the time of impairment. Sponsor is not responsible for any change in your e-mail address. No liability or responsibility is assumed by Sponsor resulting from your participation in or attempt to participate in the Contest or ability or inability to upload or download any information or submission in connection with participating in the Contest. VOTING SWEEPSTAKES

The Sweepstakes will commence at 12:01 a.m. ET on January 10, 2011 and end at 11:59 p.m. ET on February 4, 2011. At any time during the Voting Period, eligible members of the public who register at the Web Site in accordance with the rules and provide all of the requested information and agree to be bound by these Official Rules are allowed to vote and will receive one (1) entry into the Sweepstakes ("Sweepstakes Entry") per day for each vote that complies with the requirements below.

RANDOM DRAWING & ODDS OF WINNING SWEEPSTAKES

On or about February 8, 2011, Sponsor or its representatives, will select the names of one (1) potential Sweepstakes Winner in a random drawing from among all eligible Sweepstakes Entries received during the Sweepstakes Period. The potential Sweepstakes Winner will be notified by e-mail within approximately three (3) days. Odds of winning the Sweepstakes Prize depend on the total number of eligible Sweepstakes Entries received during the Sweepstakes Period. The Sweepstakes Winner will receive "Free Bread for 1 Year" (52) Free Coupons good on any Schwebel's Product (Average Retail Value: $200.00). The Sweepstakes Winner is solely responsible for all federal, state and local taxes. The Prize may not be redeemed for cash and it is neither transferable nor substitute, except at the sole discretion of the Sponsor. TO ENTER: Complete, in its entirety and with validity, the Contest entry form (“Entry Form”) at www.schwebels/promotions/shoppingspree entrants must enter the UPC BAR CODE found on their purchased Schwebel’s bread product. Limit one (1) entry per day, per person, per email address, and per household. Schwebel’s is not responsible for lost, late, incomplete, or mis-directed entries. By entering this Sweepstakes, entrants accept and agree to be bound by these Official Rules and the decisions of the judges, which shall be final, binding and conclusive on all matters. Sweepstakes starts 11/08/2011 and ends 1/13/2012.
